These Terms & Conditions (“Terms”) govern your access to and use of Brimsauto Inc., Brimsurance, and any related websites, services, tools, platforms, applications, or communications (collectively, the “Platform”).

 

By accessing, browsing, registering, submitting a form, booking a test drive, paying any fee, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

If you do not agree, you must not use the Platform.

 

 

 

1. DEFINITIONS

 

 

For the purposes of these Terms:

 

• “Company,” “we,” “us,” “our” refers to Brimsauto Inc., operating in Ontario, Canada, and any affiliated entities, brands, or services.

• “User,” “you,” “your” refers to any individual or entity accessing or using the Platform.

• “Platform” includes the website, forms, member areas, listings, communications, payment systems, and services offered by the Company.

• “Listing” refers to any vehicle information, advertisement, image, description, or pricing displayed on the Platform.

• “Matching Deposit,” “Test-Drive Coordination Fee,” or “Service Fee” refers to any upfront fee paid for sourcing, coordinating, verifying, arranging inspections, facilitating test drives, or matching services.

• “Third Party” refers to vehicle owners, sellers, dealers, service providers, lenders, insurers, or any party not owned or controlled by the Company.

 

 

 

 

2. PLATFORM ROLE & LIMITATION OF SERVICES

 

 

The Company operates as a vehicle sourcing, matching, coordination, and facilitation platform.

 

We do not:

 

• Own most vehicles listed

• Guarantee vehicle availability

• Act as a licensed dealer unless explicitly stated

• Act as a lender, insurer, or legal representative

• Guarantee financing approval

• Guarantee vehicle condition, pricing, or outcomes

 

 

Our role is limited to facilitating introductions, coordination, inspections, test-drive arrangements, and related administrative services.

 

 

 

3. NO GUARANTEE OF PURCHASE, SALE, OR APPROVAL

 

 

Use of the Platform does not guarantee:

 

• That a vehicle will be purchased or sold

• That financing will be approved

• That a transaction will close

• That a vehicle will meet personal expectations

• That a third party will proceed with a transaction

 

 

All final purchase decisions are solely between the User and the third party.

 

 

 

4. MATCHING DEPOSIT & TEST-DRIVE COORDINATION FEES

 

 

 

4.1 Nature of the Fee

 

 

Any Matching Deposit or Test-Drive Coordination Fee:

 

• Is a service fee, not a vehicle payment

• Covers administrative, coordination, sourcing, inspection facilitation, verification, and time costs

• Is not a down payment unless explicitly stated in writing

 

 

 

4.2 Non-Refundable Policy

 

 

Unless otherwise stated in writing:

 

• All service fees are non-refundable

• Fees are earned upon initiation of services

• Fees compensate for time, labor, and operational costs regardless of outcome

 

 

 

4.3 Credit Toward Purchase (If Applicable)

 

 

If explicitly stated:

 

• A portion of the fee may be credited toward a final purchase

• Credit is not guaranteed

• Credit terms vary by listing and third party

 

 

 

 

5. VEHICLE LISTINGS & INFORMATION DISCLAIMER

 

 

All listings are provided “as is” and “as available.”

 

The Company:

 

• Does not guarantee accuracy of listings

• Does not guarantee mileage, condition, history, pricing, or availability

• Relies on third-party information

 

 

Users are responsible for:

 

• Conducting independent inspections

• Verifying vehicle history

• Confirming pricing and terms

• Seeking professional advice if needed

 

 

 

 

6. INSPECTIONS & TEST DRIVES

 

 

• Inspections and test drives may be arranged but are not guaranteed

• Third parties may cancel, delay, or refuse access

• The Company is not responsible for inspection outcomes

• Users participate in test drives at their own risk

 

 

 

 

7. ASSUMPTION OF RISK

 

 

By using the Platform, you acknowledge and accept all risks associated with:

 

• Vehicle inspections

• Test drives

• Third-party interactions

• Transportation

• Mechanical or safety issues

 

 

 

 

8. LIMITATION OF LIABILITY

 

 

To the maximum extent permitted by law:

 

The Company shall not be liable for:

 

• Personal injury

• Property damage

• Financial loss

• Lost profits

• Transaction failures

• Misrepresentation by third parties

• Delays or cancellations

• Mechanical defects

• Accidents

• Regulatory issues

 

 

Total liability, if any, shall not exceed the amount paid to the Company for services.

 

 

 

9. INDEMNIFICATION

 

 

You agree to indemnify and hold harmless the Company, its officers, directors, employees, contractors, and affiliates from any claims, damages, losses, or expenses arising from:

 

• Your use of the Platform

• Your interactions with third parties

• Your breach of these Terms

• Your violation of any law or regulation

 

 

 

 

10. USER ACCOUNTS & RESPONSIBILITY

 

 

• Users are responsible for maintaining account security

• You are responsible for all activity under your account

• False, misleading, or fraudulent information may result in termination

 

 

 

 

11. PAYMENT PROCESSING

 

 

• Payments are processed via third-party processors

• The Company does not store full payment details

• Chargebacks or disputes may result in account suspension

 

 

 

 

12. TERMINATION

 

 

The Company reserves the right to:

 

• Suspend or terminate access at any time

• Refuse service for any reason

• Remove listings or content without notice

 

 

 

 

13. INTELLECTUAL PROPERTY

 

 

All content on the Platform is owned by or licensed to the Company and may not be reproduced without permission.

 

 

 

14. PRIVACY

 

 

Use of the Platform is subject to our Privacy Policy. Personal data is collected and used in accordance with applicable laws.

 

 

 

15. MODIFICATIONS TO TERMS

 

 

The Company may update these Terms at any time. Continued use constitutes acceptance of updated Terms.

 

 

 

16. GOVERNING LAW

 

 

These Terms are governed by the laws of Ontario, Canada, without regard to conflict-of-law principles.

 

 

 

17. DISPUTE RESOLUTION

 

 

Any disputes shall be resolved through:

 

• Good-faith negotiation

• Arbitration or court proceedings in Ontario, Canada

 

 

 

 

18. ENTIRE AGREEMENT

 

 

These Terms constitute the entire agreement between you and the Company and supersede any prior agreements or communications.
